Terms

The terms on which a solicitors' practice in Ireland subscribes to Clausa.

Draft for the solicitor's reading before launch. Passages marked below are not final.

Who these terms are for

These terms are between [company name and registration number to be added on incorporation] ("Clausa") and the solicitors' practice in Ireland that opens an account ("the firm"). Clausa sells only to practices, as a business. There is no contract with the public, and the firm's clients do not become Clausa's customers.

The person who opens the account confirms that they may accept these terms for the firm.

What Clausa is

Clausa is software for solicitors' practices. Clausa is not a law firm, does not act for anyone, does not give advice to the public and is not regulated by the Law Society of Ireland or the Legal Services Regulatory Authority. The solicitor who signs off is responsible for the work.

The firm is responsible to its clients, to courts and bodies, and to its regulators for the work it does with Clausa. A solicitor in the firm reviews and signs off every output before it leaves the firm, and checks every fact, date, amount, deadline and legal reference in it.

Clausa suggests deadlines; the firm confirms them and keeps its own diary. A deadline marked Unconfirmed is not to be relied on until a person in the firm confirms it.

Seats and users

  • Solicitor seat: a member with the solicitor role, a current practising certificate and two-factor authentication. Only a solicitor seat records instructions, decides marked points and signs off. Clausa checks the roll number.
  • Support seat: a trainee, legal executive or secretary working under a solicitor's supervision. Prepares work and asks for sign-off; never signs off.
  • Every subscription has at least one solicitor seat. The owner of the firm's account adds or removes seats in Billing.
  • Every user signs in with two-factor authentication and keeps their sign-in to themselves. The firm gives access only to people who work for it under its supervision.

Prices and payment

Solicitor seat: €119 a month billed yearly, or €139 billed monthly. Support seat: €39 a month billed yearly, or €49 billed monthly. Prices are in euro, plus VAT at 23%, added at checkout. There is no free plan.

Your practice pays for the software. Nothing in the price is linked to clients, referrals or outcomes.

Payment is through Stripe for the period the firm chose, monthly or yearly. A change of seats is invoiced or credited for the rest of the period. The owner can cancel in Billing: the subscription runs to the end of the period already paid and is not renewed.

The firm's data

The firm owns its data, its outputs and its precedents. For personal data in them, the firm is the controller and Clausa its processor, under the data processing agreement (GDPR Article 28), which forms part of these terms and is sent on request at hello@clausa.ie. Clausa is controller only of accounts, seats, billing and telemetry without content, as the Privacy notice explains.

Clausa keeps firm data in Europe through the sub-processors listed in the Privacy notice, does not use it to train AI models, and never uses one firm's data for another firm.

When the subscription ends, the owner has 60 days to read and export everything in open formats. Clausa then erases the firm and sends the owners a certificate of erasure.

Clausa's software and base content

Clausa owns the software and its base templates, letters and intake schemas. The firm may use and adapt them in documents for its own clients while it subscribes, and documents already made stay the firm's.

Confidentiality

Clausa treats the firm's data as confidential to the firm and its clients and discloses it only as these terms or the law require. Staff see content only on the owner's written request, for at most 24 hours, with the access recorded in the firm's audit log.

Clausa does not name the firm, or anyone in it, in its marketing without the firm's written approval of each item.

Liability

  • Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or for any liability that cannot lawfully be limited.
  • Otherwise, each party's total liability to the other is limited to the greater of the fees the firm paid Clausa in the 12 months before the claim and €10,000.
  • For a breach by Clausa of data protection or confidentiality, a separate limit of €50,000 in total applies instead, never above the limit of Clausa's cyber insurance.
  • Neither party is liable for loss of profit, revenue or goodwill, or for indirect or consequential loss.
  • Clausa's liability for an error in an output is reduced to the extent that the firm's review before sign-off should have found it.

To be confirmed by the solicitor: The final wording of these terms and of the data processing agreement, before the first paid subscription.

Law

These terms are governed by Irish law, and the courts of Ireland have exclusive jurisdiction.
